TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Friending mobile application, website, and related services (collectively, the “Service”).

By accessing or using Friending, you agree to be bound by these Terms.
If you do not agree, do not access or use the Service.

1. About Friending

Friending is operated by Friending, Inc., a Delaware corporation

2. Eligibility

You must be at least 18 years old to use Friending.

By using the Service, you represent and warrant that:

  • You are at least 18 years of age

  • You are a natural person using the Service for personal, non-commercial purposes

  • You are legally capable of entering into a binding agreement

  • You have not been convicted of, and are not required to register as, a sex offender

Friending does not conduct criminal background checks and does not guarantee the conduct of users.

3. Account Registration & Verification

To access Friending, you must create an account and complete identity verification.

You agree to:

  • Provide accurate, current, and complete information

  • Use your real name and real photos

  • Maintain the security of your login credentials

Friending uses third-party providers (such as Persona) to verify identity and selfies.
Verification increases trust but does not guarantee user behavior.

You are solely responsible for activity occurring under your account.

4. User Conduct

You agree not to:

  • Create fake or misleading profiles

  • Harass, threaten, abuse, or harm other users

  • Post unlawful, defamatory, obscene, or sexually explicit content

  • Use Friending for commercial purposes, advertising, or solicitation

  • Attempt to access another user’s account

  • Distribute malware, spam, or automated scripts

  • Violate any applicable law or regulation

Friending may remove content or terminate accounts at its sole discretion.

5. In-Person Meetings & Safety

Friending facilitates introductions only.

You understand that:

  • Any in-person meetings occur at your own risk

  • Friending does not supervise or control offline interactions

  • You are responsible for your personal safety

We encourage users to take reasonable precautions when meeting others.

6. Content Ownership & License

You retain ownership of content you submit.

By posting content, you grant Friending a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content solely for operating and improving the Service.

You represent that you have all necessary rights to the content you post.

7. Subscriptions & Payments

Friending may offer paid subscriptions via Apple App Store or Google Play.

Key terms:

  • Subscriptions automatically renew unless canceled

  • Payments are handled by Apple or Google

  • Refunds are governed by the platform’s policies

  • Unused time is non-refundable

You must manage subscriptions through your app store account.

8. Termination

Friending may suspend or terminate your account at any time, with or without notice, if you violate these Terms or pose a risk to the community.

Upon termination:

  • Your access to the Service ends

  • Any unused subscriptions are forfeited

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

Friending does not guarantee:

  • Matches, friendships, or social success

  • Continuous or error-free operation

  • Accuracy of user-generated content

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRIENDING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW,
FRIENDING SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

FRIENDING’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO FRIENDING IN THE LAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Friending, Inc. from any claims, damages, losses, or expenses arising from:

  • Your use of the Service

  • Your content

  • Your violation of these Terms

12. Arbitration & Class Action Waiver

PLEASE READ CAREFULLY.

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if eligible.

You agree that:

  • Arbitration will be conducted individually

  • No class actions or representative claims are permitted

  • You waive the right to a jury trial

Arbitration shall be conducted under the rules of the American Arbitration Association.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Changes to Terms

Friending may modify these Terms at any time.
Material changes will be communicated through the Service.

Continued use constitutes acceptance.
